MAINTENANCE AGREEMENT in accordance with SOFTWARE LICENCE AGREEMENT No: IF/Prolog-SAMPLE
1.1 The term of maintenance shall be extended from 9x/xx/ for one year. 1.2 This Agreement is valid for one year. 1.3 This Agreement will be renewed every year for another year automatically once it expires unless either USER or IFC notifies in writing three months before the expiration.Maintenance and Support Services that are provided during the maintenance period are as follows: (1) telephone and fax support: free-of-charge (2) problem solving support for USER (3) IF/Prolog update(fee-of-charge)
(3)-1 updating of IF/Prolog to a new version in case that new versions of IF/Prolog is released (3)-2 updating of IF/Prolog in accordance with your OS which is updated to a new version
(Exception: In both cases, when OS version and/or IF/Prolog version are old which have been discontinued for sale for over one year, updating is not free-of-charge any more.: US$1,200 handling charge + any other cost including travel fee incurred by the relating activities) \end{quote}
(4) upgrade(charged) upgrading of IF/Prolog to a binary compatible machine by the same manufacturer as the present machine as mentioned in the Licence Agreement: the difference in the present prices between the two versions plus US\$200 handling fees are charged. However, there is no refund from IFC if the upgrade version costs less than the original version.
3. EXHIBIT A: Product 4. EXHIBIT B: Equipment
Maintenance fee The maintenance fee for each year is 20\% of the present price of the product, which includes IF/Prolog plus all optional interfaces. Tax is excluded. This fee shall be paid at the beginning of the term mentioned in Section 1.1 of this Agreement.
This Agreement are produced in duplicate, one copy for USER and one for IFC.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement, effective as of the last date properly executed by both parties.
